These Terms & Conditions ("Terms") govern your use of the website operated by Sequel ("Sequel," "we," "our," or "us") at https://sequel.movie and any related subdomains (including but not limited to app.sequel.movie) (collectively, the "Site"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Informational-Only; No Transactions
The Site is provided for general informational and promotional purposes related to Sequel's projects. The Site does not:
permit the purchase, sale, swap, staking, minting, burning, bridging, or transfer of tokens or digital assets, or
provide financial, investment, legal, accounting, or tax advice.
The Site does, however, allow wallet connectivity strictly for the limited purpose of verifying $MOVIE token holdings. This connectivity is used to prove token ownership so holders may submit film ideas or participate in related community features. It does not enable transactions.
Any mention of tokens or digital assets is informational/promotional only and not an offer, solicitation, or recommendation.
2. Eligibility
You must be at least 18 years old and legally able to enter into these Terms. You may not use the Site if doing so is prohibited by applicable law.
3. The $MOVIE Token and Ecosystem
3.1 Overview.
The Site references the $MOVIE token, a digital asset intended to function within the Sequel ecosystem. Described functionalities, such as the collection of creator fees to support film development and community engagement, are for informational purposes only. The descriptions of these functionalities are forward-looking and may not be realized.
3.2 No Offer, Solicitation, or Sale of Securities.
The Site and its content do not constitute an offer to sell, a solicitation of an offer to buy, or a recommendation for any security in any jurisdiction. Any purchase of digital assets should be made only after consulting with independent legal, financial, and tax advisors. The $MOVIE token is not available for purchase on this Site.
3.3 Important Disclaimers.
Notwithstanding any utility or functionality described on the Site:
$MOVIE tokens do not represent or constitute any equity, ownership interest, profit share, dividends, revenue share, governance rights, or any other financial or legal interest in Sequel, its affiliates, or any film project.
Any descriptions of ecosystem mechanics, including creator fees and film funding, are aspirational and subject to change. They are not a guarantee of future performance, value, or utility.
The Company makes no representations or warranties regarding the regulatory status of the $MOVIE token under any jurisdiction.
4. Risk Disclosures
Participation in digital asset ecosystems involves significant risk. By using this Site, you acknowledge and agree that you understand these risks. You should not engage with any digital assets, including $MOVIE, if you are not prepared to lose your entire contribution. Key risks include, but are not limited to:
4.1 Risk of Financial Loss and Volatility.
The value of digital assets is extremely volatile and can be influenced by rapid and unpredictable market changes. The $MOVIE token may have no value, and there is no guarantee of liquidity or a secondary market.
4.2 Regulatory and Legal Risk.
The legal and regulatory status of digital assets is uncertain in many jurisdictions and may change without notice. Future legislative or regulatory actions could severely impact the utility, value, and transferability of the $MOVIE token. The token could be deemed a security in one or more jurisdictions, which may affect its operation and your ability to hold or transfer it.
4.3 Technical and Operational Risks.
The Sequel ecosystem, including any smart contracts, relies on new and complex technologies that may contain bugs, suffer from operational instability, or be vulnerable to security attacks, including hacks or theft. Such events could result in a partial or total loss of assets.
4.4 No Guarantee of Project Success.
The success of film projects mentioned on the Site is not guaranteed. There is no assurance that any funds from creator fees or other ecosystem activities will successfully finance or complete any film, nor is there any assurance that completed films will generate revenue or positive results for the ecosystem.
5. Prohibited Uses
You agree not to:
attempt to use the Site for any transaction involving digital assets (including buying, selling, swapping, staking, minting, burning, bridging, or transferring tokens),
use any scripts, extensions, or other means to circumvent Site limitations, or
access or use the Site in violation of these Terms or applicable law.
6. Sanctions, AML/CTF, and Export Controls
You represent and warrant that you are not:
located in, organized under the laws of, or ordinarily resident in a comprehensively sanctioned jurisdiction (including Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, or Luhansk regions of Ukraine), or
listed on any sanctions or restricted party list maintained by the U.S., EU, U.K., or U.N.
You will not use the Site to evade or violate sanctions, AML/CTF, or export-control laws. We may block or terminate access where we reasonably believe necessary to comply with law. Items available via the Site may be subject to U.S. and other export laws and may not be exported or re-exported contrary to those laws.
7. Third-Party Services and Links
The Site may reference or link to third-party websites, wallets, marketplaces, or services. We do not control and do not endorse them. Your use of third-party services is at your own risk and subject to their terms.
8. Intellectual Property
All Site content (including text, images, logos, graphics, and software) is owned by Sequel or its licensors and protected by law. No rights are granted except as expressly set out in these Terms.
9. Disclaimer of Warranties
The Site and all related content are provided "as is" and "as available," without warranties of any kind. We specifically disclaim any and all warranties, express or implied, including but not limited to:
Any warranty regarding the value, utility, functionality, or regulatory status of the $MOVIE token.
Any warranty that the ecosystem mechanics, including the incubator or the use of creator fees, will operate as described or be successfully implemented.
Any warranty that the Site is accurate, complete, reliable, current, secure, or free of errors or viruses.
10. Limitation of Liability
To the fullest extent permitted by law, Sequel and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or relating to the Site or these Terms.
Our total liability to you for any claim is limited to the greater of US$100 or the amounts you paid us (if any) in the twelve months before the claim arose.
11. Indemnification
You agree to indemnify and hold harmless Sequel and its affiliates from all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your breach of these Terms, or your violation of law or third-party rights.
12. Governing Law; Dispute Resolution; Class-Action Waiver
These Terms are governed by California law. Any dispute will be resolved by binding arbitration administered by the American Arbitration Association (AAA) in Los Angeles County, California, in English, on an individual basis.
You waive any right to a jury trial or to participate in a class, consolidated, or representative action. Either party may bring an individual claim in small-claims court.
13. Changes to the Site and Terms
We may update or modify the Site or these Terms at any time. Changes are effective when posted with the revised Effective Date. Continued use after changes means you accept them.
14. Severability; Assignment; Entire Agreement
If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent. We may assign them freely. These Terms are the entire agreement between you and Sequel regarding the Site.
